Terms of Service

These Terms of Service (“Terms”) govern your use of the Nail Down platform operated by SGC Services LLC d/b/a Nail Down (“we,” “us,” or “our”). By creating an account or using Nail Down, you agree to these Terms. If you do not agree, do not use the service.

1. The Service

Nail Down is a B2B automation platform that sends personalized SMS follow-ups, estimate reminders, and review requests on behalf of home service businesses (“Clients”). Nail Down integrates with field service management software (currently Jobber) and delivers messages via Twilio.

2. Eligibility

You must be at least 18 years old and operating a legitimate business to use Nail Down. By signing up, you represent that you have the authority to bind your business to these Terms.

3. Your Account

You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account. You agree to notify us immediately at [email protected] if you suspect unauthorized access.

When you connect your Jobber account via OAuth, you authorize Nail Down to access your quote data, job completion data, and customer contact information as needed to provide the service.

4. Your Responsibilities

As a Nail Down Client, you agree to:

• Obtain proper consent: You are responsible for ensuring that your customers have consented to receive SMS communications, consistent with the Telephone Consumer Protection Act (TCPA) and any other applicable federal, state, or local regulations
• Provide accurate information: Business details, customer data, and contact information you provide or that flows through your Jobber integration must be accurate and current
• Use the service lawfully: You will not use Nail Down to send spam, harassing messages, or any content that violates applicable law
• Respect opt-outs: If an end customer replies STOP or otherwise opts out of messages, you will honor that opt-out and not attempt to circumvent it

5. SMS Messaging

Nail Down sends SMS messages to your customers on your behalf. You understand and agree that:

• Messages are generated using our system (Anthropic’s Claude) based on your business context and customer details
• While we strive for high-quality, professional messages, generated content may occasionally contain errors — you may review message templates and request adjustments
• Standard carrier messaging rates may apply to your end customers
• Message delivery depends on Twilio’s network and carrier availability — we do not guarantee delivery of every message
• We comply with A2P (Application-to-Person) messaging regulations and register all campaigns with carrier networks

5A. SMS Messaging Program Terms

This section describes the Nail Down (SGC Services LLC) SMS messaging program for customers and business owners who opt in.

• Program description: quote and estimate follow-ups, job-completion Google review requests (sent under the contractor’s business name), and account/trial/onboarding texts to opted-in contractors
• Message and data rates may apply
• Message frequency varies

• Carriers are not liable for delayed or undelivered messages.

6. Pricing and Payment

Nail Down offers monthly subscription plans as listed at naildownnow.com/pricing. By subscribing:

• You authorize us to charge your payment method on a recurring monthly basis via Stripe
• All fees are in US dollars and are non-refundable except as required by law
• We may change pricing with 30 days’ written notice — continued use after the notice period constitutes acceptance
• If payment fails, we may suspend your account and pause all automated messaging until the balance is resolved

7. 30-Day Trial

New accounts receive a 30-day trial. During the trial, you have full access to your plan’s features. At the end of the trial, your payment method will be charged for the first monthly period unless you cancel before the trial ends.

8. Cancellation

You may cancel your subscription at any time by emailing [email protected]. Upon cancellation:

• All automated messaging will be paused immediately
• Your account data will be retained for 30 days in case you wish to reactivate
• After 30 days, your data will be permanently deleted unless you request earlier deletion
• No refunds are issued for partial months

9. Disconnecting Jobber

If you disconnect your Jobber account (either from Jobber’s side or by request), Nail Down will automatically pause all automations for your account and update your status accordingly. No new messages will be sent until the integration is restored.

10. Intellectual Property

The Nail Down platform, including its design, workflows, and message templates, is the intellectual property of SGC Services LLC. You retain ownership of your business data and customer information. You grant us a limited license to use that data solely for the purpose of providing the Nail Down service.

11. Limitation of Liability

To the maximum extent permitted by law:

• Nail Down is provided “as is” without warranties of any kind, express or implied
• We are not liable for any indirect, incidental, special, or consequential damages arising from your use of the service
• Our total liability for any claim related to the service shall not exceed the amount you paid us in the 3 months preceding the claim
• We are not responsible for the content of generated messages once you have approved or allowed automatic sending

12. Indemnification

You agree to indemnify and hold harmless SGC Services LLC, its officers, and agents from any claims, damages, or expenses arising from your use of the service, your violation of these Terms, or your failure to comply with TCPA or other applicable messaging regulations.

13. Acceptable Use

You may not use Nail Down to:

• Send messages to individuals who have not consented to receive them
• Transmit content that is illegal, threatening, abusive, or otherwise objectionable
• Attempt to reverse-engineer, copy, or extract the platform’s automation logic or message templates
• Interfere with or disrupt the service’s infrastructure
• Resell or sublicense access to the platform without our written consent

14. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted service. We may perform scheduled maintenance with reasonable advance notice. We are not liable for downtime caused by third-party services (Jobber, Twilio, Airtable) or events beyond our reasonable control.

15. Modifications to Terms

We may update these Terms from time to time. Material changes will be communicated via email or a notice on our website at least 14 days before they take effect. Your continued use of Nail Down after the effective date constitutes acceptance of the updated Terms.

16. Governing Law

These Terms are governed by the laws of the State of Florida, without regard to conflict of law principles. Any disputes arising from these Terms or your use of the service shall be resolved in the courts located in Escambia County, Florida.

17. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

18. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and SGC Services LLC regarding your use of Nail Down.
